2.2 Verification of usage: You will provide us with any information or materials related to your Content (including copies of any client-side applications) that we reasonably request in order to verify that you are complying with this Agreement. You will also cooperate with us to identify the source of any problems with our services that we reasonably believe may be caused by your Content or any end-user materials that you control.

2.3 Lawfully-owned data: You can only use our services to store, retrieve, query, and serve data and information that you own, have a licence for, or have legally obtained. As part of the services, you may be allowed to use certain software (including related documentation) provided by us or third-party licensors. This software is neither sold nor distributed to you, and you may only use it as part of the Products or as allowed by third-party terms of service. You cannot use such third-party software in any way not related to the Products without specific permission to do so.

3. Social Media

Social media platforms are public, so we have no control over your privacy there. Their privacy policies and terms of use apply. We don't endorse comments or opinions on social media. If you see something offensive, report it to the platform operator. Information posted on or to any of our Social Media accounts will not be treated as confidential, and, therefore, users should not disclose any confidential, proprietary, or sensitive business or financial information. 4. Indemnity and Limitation of Liability

4.1 Indemnity by Customer: To the fullest extent of the law, Customer agrees to indemnify, defend and hold harmless AMZ Ready, its managers, members, employees, contractors, agents and representatives (the “Indemnitees”) from and against all claims, losses, liabilities, damages and expenses (including reasonable attorneys’ fees) arising from or relating to any claim, action or proceeding brought by any third party (each, a “Claim”) based upon: (i) a breach of this Agreement by Customer, and/or (ii) any negligent act or omission or willful misconduct by Customer; provided that Customer shall not be required to indemnify and hold harmless Indemnitees for any such Claim to the extent resulting from the negligent acts or omissions or willful misconduct.

4.2 Mutual Indemnification: In no event shall either party be liable for any indirect, incidental, consequential, special or exemplary damages, including, without limitation, interruption of business, or loss of use, profits, user satisfaction, business opportunity or data, regardless of the form of action (whether in contract, tort or otherwise), regardless of whether such party has been advised of the possibility of such damages. As an essential term of this Agreement inducing AMZ Ready to enter into this Agreement, Our maximum aggregate liability arising from or related to this Agreement shall not exceed the total amount paid by Customer to AMZ Ready for the twelve (12) months preceding the incident giving rise to the cause of action.

5. Refund Policy

All deposited money for a project is refundable if the customer requests a full refund. It may take between 2 and 7 business days for the refund to appear in the customer's account. If the customer pays for a paid marketing budget, the money will only be refunded if it has not been used. Every AMZ Ready bundle has a 100% money-back guarantee. Client input is required for all design tasks before they are completed, so it is important for customers to participate and provide feedback to ensure that they get the desired results.

7. Confidentiality

AMZ Ready understands that it may have access to confidential information that belongs to Customer or its affiliates, such as the terms of this agreement, trade secrets, technology, business information and strategies, processes, customers, employees, and other related information (collectively, "Confidential Information"). AMZ Ready agrees to keep all Confidential Information strictly confidential, to not disclose it to any third party without Customer's prior written consent, and to only use it for the purposes outlined in this agreement.

8. Termination

8.1 Termination for breach: Either party can terminate this agreement if the other party breaches the agreement and does not fix the breach within ten (10) days after receiving written notice of the breach from the non-breaching party. If AMZ Ready terminates this agreement due to a breach by Customer that Customer does not fix, Customer must pay any termination fees described in the executed orders.

9. Miscellaneous

9.1 Authority: AMZ Ready and Customer both promise and guarantee that (i) they have gotten all the necessary approvals, consents, and permissions to enter into this agreement and to fulfil their obligations under this agreement; and (ii) the person who is signing this agreement on behalf of each party has the express authority to do so and to bind the party.

9.2 Entire agreement; amendments; waivers: This agreement is the complete agreement between the parties about this topic and replaces all prior agreements, whether written or oral. The terms of any other documents, such as pre-printed terms on Customer's purchase orders, have no force or effect. This agreement can only be changed by a written agreement signed by both parties. No waiver of any provision or consent to any exception to the terms of this agreement is effective unless it is in writing and signed by the party to be bound, and then only for the specific purpose, extent, and instance provided by an authorised representative of that party.

9.3 Counterparts; Electronic signatures: This agreement can be signed by hand, by fax, or by electronic image transmission (such as by emailing a PDF document or using electronic signature technology, such as DocuSign). The agreement can be signed in two or more copies, each of which is considered an original, but all of the copies together make up one and the same agreement.

9.4 Severability: If any part of this agreement is found to be invalid or unenforceable, the rest of the agreement will still be valid and enforceable. The parties agree that this agreement will be deemed to be amended by modifying the invalid or unenforceable provision to the extent necessary to make it valid, legal, and enforceable while still preserving its intent. If such modification is not possible, the parties will substitute another provision that is legal and enforceable and that achieves the same objective.

10. ENTIRE AGREEMENT

These Terms of Service and any other policies or rules that we post on the Website or related to the Website make up the entire agreement between you and AMZ Ready. They replace any prior or current agreements. Any unclear parts of these Terms should not be interpreted against the party that wrote them.
